The terms that govern use of the Nexora website and every website development or digital solution engagement delivered by the studio.

1. Introduction to Nexora services

Nexora Studio ("Nexora", "we", "us") is a digital technology studio based in Cyprus that designs, builds and maintains websites and digital solutions for businesses internationally, including AI-assisted features, automation and system integrations.

Formal company registration details — registered entity name, registration number, VAT number and registered office address — will be published in these documents once official registration is complete. Until then, the company details listed at the foot of this page identify the studio for all commercial correspondence.

These Terms and Conditions govern your access to this website and any engagement commissioned from Nexora. By browsing the site, submitting an enquiry, accepting a proposal or paying a deposit, you accept these terms in full.

Where a signed proposal, statement of work or Client Service Agreement exists, that document prevails over these terms for the specific engagement it describes.

2. Website development services

Engagements are delivered under one of three packages — Starter, Business or Premium — as described on the Services page and confirmed in the accepted proposal. The package selected determines scope, feature set, revision allowance, timeline and support window.

Typical deliverables include information architecture, interface design, front-end and back-end development, responsive implementation, content integration, basic search-engine foundations, deployment and handover documentation.

AI features, automations, integrations and third-party connections are included only where explicitly named in the accepted proposal.

Anything not stated in the proposal is outside scope. Additional work is quoted as a change request and begins only after written approval.

3. Client responsibilities

The client is responsible for providing accurate business information, brand assets, imagery, written content, product or service data, and any credentials required to build, connect or deploy the solution.

The client confirms it holds the necessary rights and licences for all material supplied to Nexora, including text, images, video, logos, fonts and data, and indemnifies Nexora against third-party claims arising from that material.

The client nominates a single decision-maker with authority to approve designs, content and milestones.

Where the client operates in a regulated sector (for example medical, financial or legal services), the client is responsible for the regulatory accuracy of published claims and disclaimers.

4. Project requirements

Every project starts with a discovery step in which objectives, audience, required pages, functionality, integrations and success measures are documented and confirmed in writing.

Production begins once the requirements document is approved, the deposit is paid, and the initial content and asset package has been received.

If required content or access is not supplied within 30 days of request, Nexora may pause the project and reschedule it into the next available production window.

5. Communication process

Each engagement has one named contact on each side, a shared project channel for day-to-day questions, and a scheduled review call at each milestone.

Nexora responds to project communication within one business day, Monday to Friday, excluding public holidays in its jurisdiction.

Feedback, approvals and change requests are only binding when submitted in writing through the agreed project channel or by email.

Verbal or informal instructions are treated as discussion, not as approval or instruction to proceed.

6. Payment terms

Fees are those stated in the accepted proposal. Prices are quoted excluding VAT or other applicable taxes, which are added where legally required.

Invoices are payable within 14 days of issue unless otherwise stated in the proposal.

Third-party costs — hosting, domains, licensed imagery, plugins, AI usage and similar — are not included in package fees and are either billed at cost or purchased directly by the client.

Late payment may result in the suspension of active work, and may delay agreed delivery dates. Statutory interest may be applied to overdue amounts.

7. Deposit and final payment structure

A deposit of 40% of the total project fee is required to reserve production capacity and to begin discovery and design. Work does not start before the deposit clears.

The remaining balance is invoiced across milestones defined in the proposal, typically a mid-project milestone on design approval and a final balance on completion.

The final balance is due before launch to a production environment and before the transfer of ownership of the final deliverables.

For retainers and support subscriptions, invoices are issued in advance of each service period.

8. Project timeline expectations

Indicative delivery windows are Starter 2–3 weeks, Business 4–6 weeks and Premium 8–12 weeks, measured from receipt of the deposit together with all required content, assets and access.

Timelines assume client feedback within five business days at each review point.

Delays caused by late content, delayed approvals, expanded scope or third-party providers extend the timeline proportionally and are not a breach by Nexora.

Nexora notifies the client in writing as soon as a material change to the schedule becomes likely.

9. Revisions policy

Revision allowances follow the selected package: Starter includes two consolidated revision rounds, Business three, and Premium unlimited revisions within the agreed scope and timeline.

A revision round is one consolidated set of written feedback covering the deliverable under review, not a series of individual ad-hoc requests.

Revisions refine approved direction. Requests that change the agreed direction, structure or feature set are change requests and are quoted separately.

Revision rounds not used within 30 days of final delivery expire.

10. Ownership of the final website after payment

On receipt of full payment, ownership of the final delivered design, the custom code written specifically for the project, and the project content transfers to the client.

Until full payment is received, all deliverables remain the property of Nexora and are licensed to the client for review purposes only. Deploying or commercially using unpaid deliverables is not permitted.

At handover the client receives source files, repository access, deployment configuration and documentation.

11. Intellectual property considerations

Nexora retains ownership of its pre-existing intellectual property: internal frameworks, component libraries, tooling, methodologies, boilerplate and reusable modules. The client receives a perpetual, non-exclusive licence to use these as embedded in the delivered solution.

Licensed third-party assets — fonts, stock imagery, icons, plugins — remain governed by their own licences, which are transferred or purchased in the client's name where possible.

Nexora may display the completed work, including screenshots and descriptions, in its portfolio and marketing unless a written confidentiality clause is agreed before launch.

The client retains all rights to its own trademarks, brand assets and business data.

12. Third-party tools and services

Projects commonly rely on third-party providers for hosting, domains, analytics, payments, scheduling, email delivery, CRM and AI models.

The availability, performance, pricing, terms and continued existence of those services are outside Nexora's control, and their use is subject to their own terms.

AI-assisted features can produce imperfect output. Where AI generates public-facing content or responses, the client is responsible for reviewing and approving how it is used.

Ongoing subscription and usage costs for third-party services are the client's responsibility after handover unless a retainer states otherwise.

13. Limitation of liability

Nexora's total aggregate liability for any engagement is limited to the total fees actually paid by the client for that engagement.

Nexora is not liable for indirect, incidental or consequential loss, including loss of profit, revenue, business, goodwill or data.

Nexora is not liable for downtime, data loss, security incidents or damages caused by third-party providers, by client-managed changes after handover, or by the client's failure to maintain the solution.

Deliverables are provided without warranty that they will be uninterrupted or error-free beyond the defect-correction window stated in the proposal. Nothing in these terms excludes liability that cannot lawfully be excluded.

14. Service termination conditions

Either party may terminate an engagement with 14 days' written notice.

Nexora may suspend or terminate immediately in the event of non-payment beyond 30 days, abusive conduct toward its team, or a request to produce unlawful, infringing or deceptive material.

On termination, the client is invoiced for all work completed and in progress up to the termination date. Deliverables produced up to that point are handed over once the final invoice is settled.

Support retainers may be cancelled with 30 days' written notice; the current period is served in full.

15. Governing law and changes to these terms

These terms are governed by the laws of the jurisdiction in which Nexora is registered, and disputes are addressed first through good-faith negotiation.

Nexora may update these terms. The version in force at the date a proposal is accepted governs that engagement.
